Senior Private Funds Of Counsel Attorney – Global Client Base | Denver, CO

An Am Law 100 firm is seeking an experienced Private Funds Of Counsel Attorney to join its expanding investment funds practice in Denver, CO. This opportunity places you at the forefront of advising institutional clients on private equity, venture capital, and cross-border fund structures.

This is the Denver office of a major international law firm. The practice in this office includes corporate, litigation, intellectual property, employment, and other types of law. This office handles legal matters in Colorado for many of the firm's huge, global clients as well as for local businesses and individuals. Major corporations from around the globe choose this firm to handle their most complicated and important cases and transactions. The atmosphere at this firm is relaxed and friendly, and attorneys are encouraged to find a balance between their work and their personal lives. Pro bono work is important to this firm, and it is credited as billable time. Key Responsibilities:

• Structure, form, and operate various private investment vehicles, including PE, VC, credit, fund of funds, and real estate funds

• Advise on co-investment deals, secondaries, GP stakes, and continuation funds

• Draft and negotiate fund documentation and associated agreements

• Engage directly with institutional clients, including GPs, LPs, and fund administrators

• Provide regulatory counsel across domestic and international investment platforms

• Coordinate with internal teams on tax, regulatory, and transactional complexities

• Mentor junior attorneys and support group development initiatives

• Participate in business development activities and client relationship management

Qualifications:

• Minimum 7 years of experience in private fund formation and investment advisory

• Deep familiarity with co-investments, secondaries, and regulatory frameworks

• J.D. from an accredited U.S. law school

• Active Colorado Bar membership or eligibility for admission by waiver

• Strong legal writing, negotiation, and client-facing communication skills

• Ability to lead transactions independently and operate across time-sensitive mandates

• Collaborative and leadership-focused mindset
